The 2017 Annual Meeting is being held on April 8, 2017 and you will soon receive your election ballot in the mail. On this year’s ballot, members will see an item asking to accept the proposed amendments to the Articles of Incorporation that govern the terms of service on the Board of Directors.
The Articles of Incorporation is a governing document that outlines the primary rules of management of the Association. These Articles of Incorporation identify the name, address, term, and membership of the Association, as well as its purposes and powers. The proposed change addresses several housekeeping items as well as a change to board member terms.
Your Board of Directors and staff strive to keep electric rates affordable and are continually looking for ways to control the costs of operating the cooperative. One of the annual expenses incurred by PVREA is the cost of running a director election. PVREA determined that by extending the term of service of a board member by one year - from a three-year term to a four-year term - we could eliminate the need for an election every four years. This translates into a significant savings in our operational expenses and helps hold the line on rate increases.
If you have any questions pertaining to these proposed changes or wish to view a copy of the Articles of Incorporation, you may review them on our website, call the co-op at 1-800-432-1012 or email firstname.lastname@example.org.
